Terms of Service

1. Service Description
Cut OS is a cloud-based production management platform operated by Cut OS FZ-LLC ("Company", "we", "us"). The platform provides video production agencies with tools for project management, task pipelines, client portals, content review, team scheduling, invoicing, and client relationship management (collectively, the "Service").
By creating an account or using the Service, you ("User", "you") agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Account Responsibilities
You are responsible for maintaining the security of your account credentials. You must provide accurate and complete registration information. You agree to:
- Keep your password confidential and not share it with third parties.
- Notify us immediately of any unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
- Ensure that all users within your workspace comply with these Terms.
We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk to the platform.
3. Acceptable Use
You agree not to use the Service to:
- Upload, store, or transmit content that is unlawful, harmful, threatening, defamatory, or infringes on intellectual property rights.
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for any purpose that is illegal or prohibited by these Terms.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated means to access the Service without prior written consent.
4. Data Ownership
You retain all rights, title, and interest in the content you upload, create, or store through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, display, and transmit Your Content solely for the purpose of providing the Service to you.
We do not claim ownership over Your Content. Upon termination of your account, you may request an export of Your Content within 30 days. After this period, we may delete Your Content from our systems.
We own all rights to the Service itself, including its design, code, features, documentation, and trademarks.
5. Payment and Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. If your payment method fails, we may suspend access to paid features after a 7-day grace period.
6. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising out of or in connection with the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid us during the twelve (12) months immediately preceding the event giving rise to the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Termination
You may terminate your account at any time through your account settings. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, and governing law survive termination.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai and the Dubai International Financial Centre (DIFC), without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved through binding arbitration administered by the DIFC-LCIA Arbitration Centre, unless the parties agree to an alternative resolution mechanism.
9. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
